Terms and Conditions

Introduction
These Terms and Conditions (hereinafter, the "Terms") govern access to and use of the Wizzova platform (hereinafter, the "Platform" or the "Service"), a software-as-a-service (SaaS) solution for marketing, automation, and customer support through the WhatsApp Business Cloud API. By registering, accessing, or using Wizzova, you represent that you have read, understood, and accepted these Terms in their entirety. If you do not agree with any provision, you must not use the Platform.
Acceptance and Capacity
By creating an account on Wizzova, you confirm that: 1. You are at least 18 years old and have the legal capacity to enter into binding agreements. 2. You are acting on behalf of a company, business, or commercial entity, and you have the necessary authority to bind said entity to these Terms. 3. Wizzova is a platform designed exclusively for commercial and business use. It is not intended for personal use by individual consumers. 4. You agree that these Terms constitute a binding agreement between you (and/or the entity you represent) and Wizzova. 5. You have read and accept our Privacy Policy, which forms an integral part of these Terms. If you create an account on behalf of an organization, these Terms bind the entire organization. If you subsequently lose the authority to act on behalf of said organization, you must notify Wizzova immediately.
User Account
To use Wizzova, you must create an account providing truthful, accurate, current, and complete information. You are responsible for: 1. Maintaining the accuracy of your account information, including name, email address, company details, and all profile information. 2. Maintaining the confidentiality and security of your access credentials (email and password). You must not share your credentials with unauthorized third parties. 3. All activities that occur under your account, whether performed by you, by members of your team, or by anyone who accesses using your credentials. 4. Notifying Wizzova immediately of any unauthorized use of your account or any other security breach. Wizzova reserves the right to suspend or cancel accounts that contain false or misleading information, or that violate these Terms. We shall not be liable for losses or damages resulting from failure to comply with these security obligations.
Description of Service
Wizzova is a SaaS platform that provides tools for commercial management through Meta's WhatsApp Business Cloud API. The Service includes: 1. Bot flow designer: A visual drag-and-drop tool for creating automated conversation flows with multiple node types (messages, conditions, questions, variable assignment, working hours, among others). 2. Broadcast campaigns: Mass message sending using approved WhatsApp templates, with scheduling, audience segmentation, and real-time delivery metrics. 3. Multi-agent live chat: A shared inbox for managing WhatsApp conversations with real-time assignment, organizational tabs, and instant updates via WebSocket. 4. Contact management: Bulk import, custom fields, groups, tags, and audience segmentation. 5. Template management: Creation, editing, and approval tracking for WhatsApp message templates. 6. Analytics and reporting: Message delivery metrics, bot performance, campaign statistics, and agent activity. 7. Access control: Role and permission system for managing team member access. The Service requires the user to have an active WhatsApp Business API Cloud account configured through Meta. Wizzova does not provide WhatsApp phone numbers or WhatsApp Business accounts; the user is responsible for obtaining them independently.
Subscription, Billing, and Payments
Access to Wizzova is provided through paid subscription plans: 1. Available plans: Growth ($29 USD/month or $39 USD/month depending on configuration), Scale ($59 USD/month or $79 USD/month), and Pro ($149 USD/month or $199 USD/month). Each plan includes specific limits on users, contacts, and WhatsApp numbers. 2. Billing: Plans are billed in advance, either monthly or annually. Annual plans include a 25% discount compared to the monthly price. 3. Automatic renewal: Subscriptions automatically renew at the end of each billing period (monthly or annual), unless the user cancels before the renewal date. 4. Payment methods: We accept payments through Stripe (international credit and debit cards) and MercadoPago (for users in Latin America). The user is responsible for maintaining a valid and up-to-date payment method. 5. Additional users: Plans allow adding extra users at an additional cost per user depending on the selected plan. 6. Plan changes: You may upgrade or downgrade your plan at any time. Upgrades are applied immediately with proration. Downgrades are applied at the start of the next billing period. 7. Price changes: Wizzova reserves the right to modify plan prices. Price changes will be notified at least 30 days in advance and will apply from the next billing period. 8. Taxes: Listed prices do not include applicable taxes (VAT, local taxes). The user is responsible for any taxes applicable in their jurisdiction. 9. Non-payment: In case of non-payment, Wizzova reserves the right to suspend access to the Service. If payment is not regularized within 15 days, the account may be canceled.
Refund Policy
Since Wizzova is a digital service that is activated immediately upon subscription: 1. Subscription payments are non-refundable. This is standard in the SaaS industry and applies to both monthly and annual plans. 2. No partial credits are issued for unused periods within an already-paid billing cycle. 3. If you cancel your subscription, you will continue to have access to the Service until the end of the current billing period that has already been paid. 4. No refunds are issued for plan downgrades. The lower plan takes effect at the start of the next billing period. 5. In exceptional circumstances (e.g., duplicate billing errors), refunds will be evaluated on a case-by-case basis by contacting nahuefer173@gmail.com. By subscribing to Wizzova, you acknowledge and accept this no-refund policy.
Acceptable Use
By using Wizzova, you agree to use the Platform solely for legitimate commercial purposes and in compliance with all applicable laws and regulations. The following are strictly prohibited: 1. Sending unsolicited messages (spam) or messages to contacts who have not given their explicit consent (opt-in). 2. Sending illegal, threatening, defamatory, obscene, pornographic content, or content that incites violence or discrimination. 3. Sending content related to illegal substances, weapons, or criminal activities. 4. Engaging in phishing, fraud, scams, or any form of deceiving recipients. 5. Sending content that infringes third-party intellectual property rights (trademarks, copyrights, patents). 6. Using the Platform to harass, intimidate, or threaten any person. 7. Attempting unauthorized access to other users' accounts, Wizzova's infrastructure, or third-party systems. 8. Reverse engineering, decompiling, or attempting to obtain the Platform's source code. 9. Using the Platform in a manner that could overload, damage, or impair our servers or networks. 10. Reselling or redistributing access to the Service without written authorization from Wizzova. 11. Sending unauthorized political content or electoral propaganda that violates applicable regulations. Wizzova reserves the right to suspend or cancel access for any user who violates these provisions, without prior notice and without right to a refund.
Compliance with WhatsApp Policies
By using Wizzova to send and receive messages through WhatsApp, you agree to comply with all applicable WhatsApp and Meta policies, including: 1. WhatsApp Business Policy: You must comply at all times with the WhatsApp Business Policy (https://www.whatsapp.com/legal/business-policy/) and the WhatsApp Commerce Policy. This includes restrictions on content types, business categories, and messaging practices. 2. Message templates: Messages sent outside the 24-hour conversation window require message templates approved by Meta. Wizzova facilitates template creation and submission, but approval depends solely on Meta. We do not guarantee the approval of any template. 3. 24-hour window: WhatsApp allows sending free-form messages only within 24 hours of the last message received from the contact. Outside this window, only approved template-based messages can be sent. 4. Mandatory opt-in: You must obtain explicit consent (opt-in) from each contact before sending them commercial messages through WhatsApp. You are solely responsible for obtaining, documenting, and managing these consents. 5. Phone numbers: WhatsApp Business numbers registered on the Platform are linked to your WhatsApp Business API account. If you disconnect a number from Wizzova, that number may not be immediately reusable on another platform due to Meta's restrictions. 6. Suspension by Meta: Meta reserves the right to suspend, restrict, or cancel your access to the WhatsApp Business API if it detects policy violations. Wizzova has no control over Meta's decisions and shall not be liable for suspensions imposed by Meta. 7. Messaging quality: Meta assigns a quality rating to your WhatsApp number based on recipient feedback. A low rating may result in sending restrictions imposed by Meta. It is your responsibility to maintain high messaging quality. 8. Meta fees: Use of the WhatsApp Business API is subject to per-conversation fees set by Meta. These fees are independent of the Wizzova subscription and are charged directly by Meta.
Data Processing and Responsibilities
In the context of using Wizzova, the parties have the following responsibilities regarding the processing of personal data: 1. The customer as data controller: You (the account holder) act as data controller with respect to the personal data of your end contacts. You are responsible for: obtaining all necessary consents from your contacts before sending them messages; complying with all applicable data protection laws in your jurisdiction, including Law 25.326 (Argentina), LFPDPPP (Mexico), and/or GDPR (European Union); providing adequate privacy notices to your contacts; responding to data protection rights requests from your contacts; and ensuring you have a valid legal basis for each communication sent. 2. Wizzova as data processor: Wizzova acts as data processor with respect to your end contacts' data. We process this data solely for service delivery and according to your instructions. We implement appropriate technical and organizational measures to protect this data. 3. Mutual obligations: Both parties commit to complying with applicable data protection legislation, promptly notifying any data security breach, and cooperating in good faith in responding to data subject rights requests. Failure to comply with your obligations as data controller may result in the suspension or termination of your account.
Intellectual Property
1. Wizzova's ownership: The Platform, including but not limited to its source code, design, user interface, algorithms, documentation, trademarks, logos, and all content created by Wizzova, is the exclusive property of Wizzova and is protected by applicable intellectual property laws. 2. License of use: By subscribing to Wizzova, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform during the period of your active subscription, solely for the commercial purposes described in these Terms. 3. Restrictions: You may not copy, modify, distribute, sell, rent, sublicense, or create derivative works of the Platform or any of its components without prior written authorization from Wizzova. 4. Feedback: If you provide suggestions, ideas, or comments about the Platform, you grant Wizzova a perpetual, irrevocable, worldwide, and royalty-free license to use, modify, and incorporate such feedback into the Platform. 5. Third-party trademarks: WhatsApp, Meta, and their logos are registered trademarks of Meta Platforms, Inc. Stripe is a registered trademark of Stripe, Inc. MercadoPago is a registered trademark of MercadoLibre, Inc. Wizzova does not claim ownership of these trademarks.
User Content
1. Content ownership: You retain ownership of all content you create, import, or share through the Platform, including messages, templates, bot flows, contacts, and multimedia files. 2. License to Wizzova: By using the Platform, you grant us a limited license to store, process, transmit, and display your content solely to the extent necessary for service delivery. 3. Responsibility: You are solely responsible for all content you send through the Platform. This includes the legality of the content, the accuracy of the information, compliance with third-party intellectual property rights, and compliance with WhatsApp policies. 4. Monitoring: Wizzova does not proactively monitor the content of messages sent by its users. However, we reserve the right to review content when necessary to investigate reported violations of these Terms or WhatsApp policies. 5. Removal: We reserve the right to remove or restrict access to content that violates these Terms, applicable laws, or WhatsApp policies.
Third-Party Services
Wizzova relies on third-party services for its operation, particularly Meta's WhatsApp Business Cloud API. Regarding these services: 1. Availability: We do not guarantee the availability, performance, or continuity of third-party services. The WhatsApp Business API is subject to Meta's terms, conditions, and policies, which may change without notice. 2. API changes: Meta may modify, limit, or discontinue WhatsApp Business API features at any time. Wizzova will make reasonable efforts to adapt to these changes but does not guarantee that all Service features will be available at all times. 3. No liability: Wizzova shall not be liable for interruptions, limitations, or changes in third-party services, including but not limited to: WhatsApp API outages, changes in Meta's fees, modifications to WhatsApp Business policies, suspension of WhatsApp numbers by Meta, and changes in Stripe or MercadoPago services. 4. Integrations: Use of third-party services integrated into Wizzova is subject to each provider's own terms and conditions.
Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the maximum extent permitted by law, Wizzova disclaims all warranties, including but not limited to: 1. Warranties of merchantability, fitness for a particular purpose, and non-infringement. 2. Warranties that the Service will be uninterrupted, error-free, secure, or available at all times. 3. Warranties that results obtained from use of the Service will be accurate, reliable, or meet your expectations. 4. Warranties that defects in the Service will be corrected. 5. Warranties regarding WhatsApp template approvals, message delivery rates, or any specific performance metrics. No oral or written information or advice given by Wizzova or its representatives shall create any warranty not expressly stated in these Terms.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: 1. Wizzova shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, revenue, data, business opportunities, or goodwill, whether liability is based on contract, tort, negligence, strict liability, or any other theory. 2. Wizzova's total and cumulative liability for any claim arising out of or related to these Terms or use of the Service shall not exceed the total amount of fees paid by the user to Wizzova during the 12 months immediately preceding the event giving rise to the claim. 3. The foregoing limitations apply regardless of whether Wizzova has been advised of the possibility of such damages. 4. Without limiting the generality of the foregoing, Wizzova shall not be liable for: actions taken by Meta/WhatsApp, including account or number suspensions; failures or interruptions in third-party services; data loss resulting from failures outside Wizzova's reasonable control; damages arising from unauthorized use of user credentials; and consequences of the user's non-compliance with WhatsApp policies. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Wizzova's liability shall be limited to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Wizzova, its directors, employees, agents, and providers from and against any claims, demands, damages, costs, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to: 1. Your use of the Service or any activity related to your account. 2. Your violation of these Terms or any applicable law or regulation. 3. Your violation of WhatsApp Business policies or any Meta policy. 4. Content you send, post, or transmit through the Platform. 5. Your failure to comply with data protection obligations as controller, including failure to obtain necessary consents. 6. Any third-party claims (including end contacts) arising from messages you send through the Platform. This indemnification obligation survives the termination of your account and these Terms.
Termination
The relationship under these Terms may be terminated as follows: 1. Cancellation by the user: You may cancel your subscription at any time from your account settings. Your access will continue until the end of the current billing period already paid. No refunds will be issued for the remaining period. 2. Termination by Wizzova: We reserve the right to suspend or cancel your account immediately and without prior notice in cases of: violation of these Terms or WhatsApp policies; fraudulent or abusive use of the Platform; persistent non-payment (more than 15 days); activities that endanger the security of the Platform or other users; or requirement by a legal or regulatory authority. 3. Effects of termination: Upon account termination, your access to the Platform and all its features will be revoked; your data will be retained for a grace period of 30 days, during which you may request data export by contacting nahuefer173@gmail.com; and after the 30-day grace period, your data will be permanently deleted in accordance with our Privacy Policy. 4. Survival: The following sections survive the termination of these Terms: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction.
Force Majeure
Wizzova shall not be liable for failure to perform or delay in performing its obligations under these Terms when such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, wars, acts of terrorism, civil unrest, governmental or regulatory actions, failures in third-party services (including Meta/WhatsApp, hosting providers, payment services), internet or telecommunications disruptions, cyberattacks or external security breaches, and power outages. In the event of force majeure, Wizzova will make reasonable efforts to resume service delivery as soon as possible and will notify affected users of the situation.
Governing Law and Jurisdiction
1. Governing law: These Terms are governed by and construed in accordance with the laws of the Republic of Argentina. 2. Jurisdiction: For any dispute arising out of or related to these Terms, the parties submit to the exclusive jurisdiction of the ordinary courts of the Autonomous City of Buenos Aires, Republic of Argentina, waiving any other jurisdiction that may apply. 3. Users in Mexico: For users located in Mexico, the applicability of the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) regarding personal data protection is acknowledged, without modifying the general governing law and jurisdiction of these Terms. ARCO rights (Access, Rectification, Cancellation, and Opposition) will be handled in accordance with the LFPDPPP. 4. Users in the European Union: For users located in the European Union, nothing in these Terms limits the rights you are entitled to under the General Data Protection Regulation (GDPR) or other mandatory consumer protection rules in your country of residence. 5. Dispute resolution: Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of 30 days from written notification of the dispute.
Severability
If any provision of these Terms is declared invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or failing that, shall be removed from these Terms. The invalidity of one provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements applicable to specific services, constitute the entire agreement between you and Wizzova regarding the use of the Platform, and supersede all prior agreements, negotiations, and understandings, whether written or oral, between the parties regarding the same subject matter. No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party. Wizzova's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
